GENERAL TERMS AND CONDITIONS (as of 16 February 2026)
Please read these GENERAL TERMS & CONDITIONS (“T&Cs”) carefully before completing your account with Templetech Finance Corp., doing business under the names Tendo and Tendo by Tonik (“Tendo”).
Tendo is a corporation duly organized and registered under the laws of the Republic of the Philippines and duly licensed as a financing company [Securities and Exchange Commission (SEC) Certificate of Authority No. 1228].
These T&Cs govern your access to and use of the Tendo mobile application and website (collectively, the “Platform” or “Tendo Platform”), as well as your use of any products and Services offered by Tendo. By clicking “Accept,” creating an account, accessing, or using the Tendo Platform, or applying for and using any Loan product and Service available therein, you acknowledge that you have read, understood, and agreed to be bound by them, including any subsequent updates, amendments, or changes made thereto. This includes accepting any updates, amendments, or changes made to these T&Cs. This also includes complying with all policies, guidelines, and rules of conduct that Tendo may issue from time to time in accordance with Applicable Laws and regulations. You also agree to follow Tendo’s operational guidelines and the specific terms and conditions that apply to the Tendo Platform, and to pay any applicable fees related to your use of the Platform or any of Tendo’s products and Services.
You likewise consent to the processing of your Personal Data as outlined in our Data Privacy Notice (Tendo.ph/privacy) as well as in the Data Privacy Notice (https://tonikbank.com/data-privacy-notice) and Data Privacy Statement (https://tonikbank.com/data-privacy-statement) of our Loan partner, Tonik Digital Bank, Inc. (“Tonik”). These privacy-related documents explain how we collect, use, store, and protect your information in accordance with the Data Privacy Act of 2012 (R.A. No. 10173), its Implementing Rules and Regulations, and the relevant issuances of the National Privacy Commission (“NPC) [“Data Privacy Laws”].
These T&Cs form a legally binding agreement (“Agreement”) between you (“Applicant,” “User,” “Active User,” “Borrower,” or “you) and Tendo.
Access to and use of the Platform allows you to apply for and obtain Loan products (each, a “Loan”). These T&Cs govern your use of the Tendo Platform. The Loan itself, obtained by using the Tendo Platform once approved and disbursed, is issued and governed separately by Tonik. Tonik is a digital bank duly licensed and regulated by the Bangko Sentral ng Pilipinas (BSP). Tonik is the Loan provider and is responsible for assessing, approving, releasing, managing, and collecting all Loan proceeds and Repayments under its own General Terms and Conditions (https://tonikbank.com/general-terms-and-conditions), Loans Terms & Conditions (https://tonikbank.com/loans-terms-and-conditions), and other Loan documents issued by Tonik. Tendo may also offer additional services through the Tendo Platform (the “Additional Services”). These Additional Services may be subject to separate terms and charges, which will be disclosed to you before you use them.
In the event of any inconsistency or conflict between these T&Cs and any terms, conditions, or Loan documents issued by Tonik, Tonik’s General Terms and Conditions, Loans Terms and Conditions, and other Loan documents shall prevail with respect to the Loan, including its assessment, approval, disbursement, management, Repayment, and Enforcement. With respect to the access to and use of the Tendo Platform, these T&Cs shall prevail, to the extent not inconsistent with Applicable Law.
For the avoidance of doubt, Tendo and Tonik are Affiliates, operating under common ownership and control within the same corporate group.
Tendo operates the Tendo Platform as Tonik’s authorized digital Loan distribution and servicing partner. While Tendo provides the technology, customer onboarding, and user interface that facilitates access to Tonik’s Loan products, all Loans are assessed, issued, owned, and managed solely by Tonik in accordance with BSP regulations.
By using the Tendo Platform, you enter into:
- a contractual relationship with Tendo for the use of the Tendo Platform and related Services by virtue of these T&Cs; and,
- a separate contractual relationship with Tonik for any Loan granted through the Tendo Platform, governed by Tonik’s own Loan documentation called the Loan Agreement.
For the avoidance of doubt, nothing in these T&Cs shall be construed as authorizing Tendo to act as a bank or to grant loans on its own behalf. All credit decisions and disbursements are made exclusively by Tonik, subject to its regulatory oversight by the BSP.
You, as the Borrower, are required to repay the Loan, together with any applicable Service Fee, charges, and interest, according to the Repayment schedule indicated in your Promissory Note and Loan Agreement at the time the Loan is offered. The specific terms of your Loan, including the amount, Repayment schedule, interest rate, and applicable fees or charges (whether existing now or imposed in the future, as disclosed prior to consummation), will be clearly displayed in the Loan offer as well as in the Loan documents, which shall be provided to you before the Loan transaction is completed.
Please note that charges from third-party providers, such as transfer providers, network operators, and/or other payment service or money transfer fees, are not included in the amounts charged hereby and may be collected separately by these third-party providers.
Tendo may, at any time, ask you to indicate your preferred method of communication (e.g., Viber, WhatsApp, Telegram, e-mail, SMS, in-app call and messages, or phone call) and, if applicable, your preferred time for receiving calls.
Tendo will make reasonable efforts to contact you through your preferred communication channel and within your preferred time frame for matters such as general account updates, promotional notices, non-urgent service or operational information, or routine customer service.
Even if you have chosen a preferred way for Tendo to contact you, Tendo reserves the right to use other means of communication as it deems necessary or appropriate to deliver notices, alerts, or other communications. These may include, but are not limited to, voice calls, SMS, e-mail, postal mail, in-app notifications, calls or messages, or any other messaging or communication platforms or applications. Tendo may do this if required by Applicable Law or regulation, or if it reasonably believes it is important or urgent to reach you.
Tendo shall have the right to amend, revise, or supplement these T&Cs at any time with prior notice through your preferred communication channel, which you designated during onboarding. If no preference was specified, Tendo reserves the right to notify you through any suitable alternative method, including phone calls, in-app notifications, messages and calls, e-mail, Viber, WhatsApp, Telegram, SMS and other messaging platforms, or posting on Tendo’s website. You will receive notice of such amendments or updates at least sixty (60) days prior to their effective date.
When Tendo announces such changes through your registered communication channels or other reasonable means of notice as provided above, they shall become effective and binding on you. After the changes take effect, your continued use of the Tendo Platform or any of its Services will mean that you have read, understood, and agreed to the updated T&Cs. If you do not agree with any amendment, revision, or modification to these T&Cs, you must notify Tendo in writing and cease using the Tendo Platform and any related Services, including refraining from availing of any Loan or Additional Services, within thirty (30) calendar days from the date such amendment, revision, or modification takes effect. Failure to do so shall be construed as your unequivocal acceptance of the updated T&Cs. You likewise confirm that the provisions, disclosures, and disclaimers set forth in these T&Cs are fair and reasonable, and that your consent to follow and be bound by them is voluntary and not a result of fraud, duress, or undue influence.
- DEFINITIONS AND INTERPRETATION
As used in these T&Cs, the following words, terms, and expressions used shall have the meanings ascribed to them as follows:
- “Active User” refers to you, if you have made a purchase through Tendo and currently maintain at least one (1) active Loan (i.e., the Loan has not been fully repaid and still has an outstanding balance).
- “Affiliate” refers to any person, corporation, or entity that directly or indirectly controls, is controlled by, or is under common control with another person, corporation, or entity. For purposes of this definition, “control” shall mean: (a) the direct or indirect ownership of more than fifty percent (50%) of the voting shares or equity interest of such person, corporation, or entity; or, (b) the ability to appoint or remove a majority of the members of the board of directors or other governing body of such person, corporation, or entity. The terms “controlling,” “controlled by,” and “under common control with” shall be interpreted accordingly. Affiliate, for purposes of this Agreement, includes Tonik and Tonik Financial India Pvt. Ltd. (“TFI”), with whom Tendo may share data and coordinate solely for purposes related to the operation of the Tendo Platform, loan application processing, verification, analytics, technology support, compliance, and other ancillary or support functions, in accordance with Applicable Law.
- “Amortization Schedule” means the table or schedule that specifies the breakdown of each Loan Repayment into principal, interest, and other applicable charges over the Loan term, showing how the Loan balance decreases over time.
- “Applicable Law” refers to all laws, regulations, and directives applicable to this Agreement, including but not limited to the Data Privacy Laws, relevant SEC regulations, and BSP issuances.
- “Applicant” refers to you, if you are completing the account registration and application process with Tendo. As an Applicant, you are still undergoing verification and evaluation in accordance with Tonik and Tendo’s Know-Your-Customer (KYC) process and other regulatory requirements. Until your information is fully verified by Tendo and Tonik, and subsequently approved by Tonik, you cannot use the Tendo Platform to make purchases or payments on Partner Merchant websites or affiliated platforms.
- “Borrower” refers to you, as the individual to whom Tonik, through the Tendo Platform, has granted a Loan under the applicable Loan Agreement. As the Borrower, you are responsible for complying with all Repayment obligations, fees, and other terms and conditions applicable to your Loan.
- “Credit Limit” refers to the maximum amount of credit that you are allowed to borrow or spend under your Tendo account at any given time.
- “Dashboard” refers to your personalized User interface accessible after logging in to your account in the Tendo mobile application or on app.tendo.ph where you can view your completed purchases and related details, such as Due Dates, Repayment amounts, and payment history.
- “Default” occurs if you do not make a required payment on or before its Due Date, or if information you provided to us is later found to be inaccurate, incomplete, or misleading, and such inaccuracy affects Tendo’s assessment or provision of the Service.
- “Disclosure Statement” refers to the document issued to you as an Active User, outlining the Loan’s terms, including the interest rate, fees, Repayment schedule, and other applicable obligations.
- “Due Date” refers to the date on which Repayments or any other amount becomes due and payable by you as an Active User. This includes, when applicable, any arrears in semi-monthly Repayments and/or other overdue amounts as indicated in Tendo’s communications with you, or as visible on your Dashboard.
- “Enforcement” refers to the lawful actions taken to require compliance with your Loan obligations after a Default has occurred. This may include pursuing legal remedies, enforcing contractual rights, or carrying out court or regulatory processes to recover amounts due, such as the execution of judgments or other remedies permitted under Applicable Law. Enforcement does not involve penalties beyond what the law allows and is undertaken solely to ensure fulfillment of your contractual obligations.
- “Event of Default” means the occurrence of any Default under the Loan Agreement and Tonik’s Loans Terms and Conditions, whether voluntary or involuntary, and regardless of any law, regulation, or court order that may have caused it. This includes, without limitation, any of the following:
- your failure to pay, in full, any amount due under the Loan on the applicable Due Date, including principal, interest, fees, charges, or any other amounts payable under the Loan documents;
- your failure to perform or comply with any obligation, undertaking, representation, warranty, or covenant under the Loan Agreement, these Terms and Conditions, or any related Loan documents;
- any event or circumstance which, in the reasonable opinion of Tonik, is likely to materially impair or adversely affect your ability or willingness to meet your obligations under the Loan;
- any event that materially affects your capacity to repay the Loan, including loss of employment, material reduction of income, insolvency, or similar financial difficulty;
- your death or legal incapacity; or,
- any change in applicable law or regulation that materially affects the validity, enforceability, or performance of this Agreement or the Loan documents.
- “Final Pay” means all amounts due or owing to the employee from the employer upon or after resignation, termination, or separation from employment, including the last salary, unpaid or pro-rated wages, separation or retirement pay, bonuses, incentives, commissions, accrued leave conversions, and any other monetary benefits legally payable to the employee, to the extent permitted by Applicable Law.
- “First Payment” refers to the portion or percentage of the total purchase price that you must pay upfront to complete your transaction and activate the corresponding Loan.
- “Interest Rate” refers to the percentage charged on the principal amount borrowed under your Loan.
- “Late Payment Fee” refers to the amount that may be charged to you as an Active User in the event that any payment due is not made on or before the applicable Due Date. Any decision by Tendo to impose such fees in the future shall be communicated to you in a timely manner.
- “Loan” refers to the financial product granted directly by Tonik, through the Tendo Platform, to you as an Active User representing any usage of your approved Credit Limit and subject to agreed upon Repayment terms.
- “Partner Merchant” refers to an e-commerce website or online retailer that has an agreement with Tendo to offer Tendo as a payment option at checkout, allowing you to make purchases in installments through the Tendo payment method, subject to Tendo’s verification and approval process.
- “Personal Information” or “Personal Data” refers to any information that identifies or can reasonably identify you, such as your name, date of birth, phone number, identification or passport number, or any other information classified as personal pursuant to the Data Privacy Laws.
- “Repayment” refers to the amount payable by you, as an Active User, as specified in Tendo’s communications and displayed on your Dashboard. Semi-monthly Repayments are due and payable twice a month on the Due Dates indicated.
- “Sensitive Personal Information” means Personal Information as defined under the Data Privacy Laws, including information about your race, ethnic origin, marital status, age, color, religious, philosophical or political affiliations, health, education, genetic or sexual life, criminal history, government-issued identifiers, financial information, and any data classified as Sensitive Personal Information under Applicable Law or regulations.
- “Service Fee” refers to the fee charged for processing, managing, or maintaining your Loan or related Service.
- “Service(s)” refers to any products, services, or financial facilities that Tendo may provide or make available to you from time to time.
- “Templetech Finance Corp. Doing Business Under the Names Tendo and Tendo by Tonik” or “Tendo” refers to us, a corporation duly organized and registered in the Philippines, authorized by the SEC to operate as a financing corporation. It offers financing services and digital platform-based solutions, including the facilitation, promotion, and administration of Loan and installment payment programs offered to individual and corporate clients. Tendo is an Affiliate and authorized agent of Tonik, acting solely as a platform and service provider through which Tonik offers and administer loan facilities.
- “Tendo” or “Tendo by Tonik” refers to the brand owned and operated by Templetech Finance Corp.
- “Tendo Platform” or “Platform” refers to the digital platform or online system operated by Tendo for Loan applications, loan features, account management, and Repayments. You may access the Platform through the downloadable Tendo mobile application and/or website.
- “Tendo Data Privacy Notice” refers to Tendo’s Privacy Notice, which sets out how Tendo collects, uses, processes, stores, protects and disposes of your Personal Information in compliance with the Data Privacy Laws.
- “Terms and Conditions” or “T&Cs” refers to these General Terms and Conditions, including any amendments or updates that may be issued by Tendo from time to time.
- “Tonik Digital Bank, Inc.” or “Tonik” refers to a company duly registered in the Philippines and regulated by the BSP as a digital bank. Tonik offers retail financial products and services such as deposits, Loans, savings accounts, payments, and cards. Starting 1 June 2025, all Loans approved and processed through the Tendo Platform are granted and funded by Tonik in accordance with applicable BSP regulations and Tonik’s lending authority. Tonik is an Affiliate of Tendo.
- “User” refers to you, once your application has been verified and approved by Tonik, in accordance with applicable KYC and credit evaluation requirements. As a User, you are eligible to make purchases through Partner Merchant websites using the Tendo Platform, subject to applicable terms, lending conditions, and Credit Limits.
- “Voucher” refers to one of the available options that allows you to buy products online in installments using the Tendo Platform. You can purchase a Voucher from a selected Partner Merchant through www.tendo.ph., choosing from the available denominations listed on the website. Each Voucher can only be used on the specific Partner Merchant’s website where it is applicable. It cannot be transferred, exchanged for cash, or used with other merchants, except as allowed under these T&Cs. All Voucher purchases are subject to Tendo’s verification and Tonik’s approval and lending rules.
- Unless the context clearly indicates otherwise:
- words in the singular shall include the plural, and vice versa;
- references to any gender shall include all genders;
- headings, subheadings, and bullet points in these T&Cs are provided for convenience only and shall not affect their interpretation;
- the recitals, schedules, and annexes form integral parts of these T&Cs and shall be read together with them;
- all references to “you” shall include, as the context requires, the Applicant, User, Active User, or Borrower under these T&Cs; and,
- All references to “we,” “us,” or “our” shall refer collectively to Tendo and Tonik, as the context requires.
- ACCEPTANCE OF TERMS
- You must carefully read and understand these T&Cs, as may be amended from time to time. By clicking “Accept” on the Tendo Platform, you confirm that you have read, understood, and agreed to be bound by these T&Cs. If you do not agree, please click “Cancel.” Note that you will not be able to access the Tendo Platform or use the Services if you click “Cancel.”
- This Agreement may be executed and delivered electronically. Any electronic signature, tick box or checkbox confirmation, click-to-accept mechanism, or other form of digital consent shall have the same legal effect, validity, and enforceability as a handwritten signature.
- By using the Tendo Platform or any of its Services, you consent to Tendo collecting and using technical information about your device, related software, hardware, and peripherals for the Services that are internet-based or wireless to improve Tendo’s products and Services. You also consent to Tendo, its Affiliates, and service partners processing, and using your Personal Information and other relevant data for legitimate and lawful purposes, including but not limited to, credit scoring, product enhancement, marketing activities, and improvement of User experience on the Tendo Platform.
- You acknowledge that acceptance of these T&Cs and use of the Tendo Platform do not constitute approval or granting of any Loan. Any Loan application, approval, and related obligations shall be governed exclusively by the applicable Loan Agreement and Tonik-issued terms and conditions.
- ELIGIBILITY, REPRESENTATIONS AND USER OBLIGATIONS
- By accessing or using the Tendo Platform, you represent and warrant that:
- All information you provide to Tendo is accurate, complete, and truthful;
- You consent to the collection, use, processing, and sharing of your Personal Information with Tendo’s partners and Affiliates, consistent with their respective data privacy policies and Applicable Laws;
- You are strictly prohibited from impersonating any person, using false documents, or misrepresenting your identity in any way;
- You have read, understood, and agreed to Tonik’s Loans Terms and Conditions, including those on Repayment, fees, and interest rates;
- You are not under any legal restriction that prevents you from accessing and using the Tendo Platform and applying for or obtaining a Loan;
- You agree to comply with all Applicable Laws, rules, and regulations, including those issued by the BSP, the Anti-Money Laundering Council (AMLC), and the NPC, in connection with your Loan application and use of the Tendo Platform;
- You will not use the Platform or Loan proceeds for any unlawful, fraudulent, illegal, or prohibited activities; and,
- By registering for an account, you confirm that you are at least eighteen (18) years old and legally capable of entering into this Agreement.
- You acknowledge that the availability of Tendo Services may vary depending on your location or area, as indicated in the Tendo Loan application form. Tendo reserves the right to limit or change the areas where its Services are offered to comply with regulatory or operational requirements.
- To be eligible for verification and use of the Tendo Platform, you must submit all required documents and information in accordance with KYC requirements. These may include but are not limited to your:
- full name;
- mobile number;
- e-mail address;
- name of employer, employment status, and salary information;
- valid government-issued ID;
- selfie for identity verification;
- date and place of birth;
- present and permanent address; and,
- income documents
- You agree to promptly update Tendo of any changes through your account or other available channels. Failure to update your information may result in delays, restrictions, or suspension of your access to, and use of, the Tendo Platform.
- You agree to keep your account information current and accurate. If there are changes to your contact details or any other Personal Information, you must update your records through your Dashboard and immediately notify Tendo by e-mail at [email protected]. Failure to promptly update your information may result in delays, account restrictions, or suspension of access to, and use, of the Tendo Platform.
- You may only maintain one (1) account. Creating more than one (1) account is not allowed. If you do, your succeeding applications will be rejected. Your access to the Tendo Platform and Services may also be terminated.
- You expressly and unconditionally consent that Tendo and Tonik may access, collect, store, process, use, analyze, distribute, disclose, display, dispose of, and transfer, whether within or outside the Philippines, any information, including Personal Information, related to you. Such information may be shared for any lawful purpose with trusted third parties where needed to provide our Services and comply with Applicable Law. These third parties include, but are not limited to, (a) Tendo’s Affiliates; (b) Partner Merchants; (c) payment facility organizers or operators; (d) credit bureaus such as, but not limited to, the Credit Information Corporation (“CIC”); (e) collection agencies; (f) alternative data providers; (g) other government bodies or agencies, and, (h) any buyer (or potential buyer) of Tonik’s title, rights, and/or interests, under your Loan Agreement/s, in whole or in part, including other financial institutions that may lawfully acquire or manage your Loan. All collection, processing, sharing, and disposal of Personal Information shall be carried out in compliance with Applicable Laws and regulations.
- You acknowledge and consent that Personal Information relating to you and to Related Persons, as defined hereunder, from time to time, may be accessed, collected, stored, processed, used, disclosed, and transferred, whether within or outside the Philippines, strictly for legitimate and lawful purposes, and subject to applicable data privacy laws and appropriate safeguards. Such purposes include, but are not limited to the following:
- to verify or confirm information relating to you, whether submitted directly by you, or lawfully obtained from other sources, before, during, or after any Loan application, approval, account activity, termination, or Platform use; to make reasonable inquiries or confirmations relating to your current location, whereabouts, contact information, employment, financial status, and other related information, for purposes of verification, compliance, fraud prevention, or support of Tonik-led processes;
- To request, use, or share information relating to any suspected or actual fraud, misrepresentation, theft, or other unlawful activity for purposes of detection, prevention, investigation, or Enforcement, in coordination with Tonik or relevant authorities.
- For the avoidance of doubt, any processing of Personal Information of Related Persons shall be limited to what is necessary for the foregoing purposes and shall be subject to confidentiality obligations and data protection safeguards required under law.
- You represent that you do not have a criminal record.
- You must promptly notify Tonik, through the Tendo Platform or other channels designated by Tonik, of any change in your employment status, including resignation, termination, suspension, transfer to a non-participating employer, or any other event that may affect payroll-based Repayments. Such notice must be given within five (5) business days from the date the employment change takes effect. Failure to provide timely notice shall not relieve you of your Repayment obligations and may constitute a breach of the Loan Agreement.
- You authorize Tonik and its authorized agents, including Tendo, to verify your employment status directly with your participating employer at any time during the term of the Loan, for purposes of loan administration, Repayment monitoring, risk management, and Enforcement. This authorization is without prejudice to other verification rights of Tonik under the Loan Agreement and applicable law.
- You confirm that you are voluntarily entering into a Loan Agreement with Tonik, the licensed lender and provider of the Loan funds, and Tendo, which facilitates and manages your Loan on behalf of its Affiliate. By accepting these T&Cs, you acknowledge that Tonik is the lender, while Tendo acts as Tonik’s authorized Affiliate and servicing partner in offering and managing your Loan.
- You cannot make purchases via Tendo unless and until Tonik verifies and approves your account.
- You understand that you must repay your Loan on time and in full. Late or missed payments may result in penalties and negative entries in your credit records.
- You will use the Platform in compliance with all Applicable Laws and regulations.
- For the avoidance of doubt, when you complete a purchase via Tendo, your status as User becomes Active User. After you fully settle the related Loan (i.e., all amounts paid), your status returns to “User.”
- If you want to stop using Tendo and delete your account, please e-mail us at [email protected]. Deleting your account means you will no longer be able to use the Tendo Platform. Pursuant to Applicable Laws, we will retain your information for at least five (5) years from the date of account termination or your last transaction with us.
- All eligibility requirements, representations and warranties, undertakings, and obligations that apply to you in connection with any Loan are governed exclusively by the Loan Agreement and the Loans Terms and Conditions issued by Tonik. You acknowledge that these requirements and obligations apply independently of these T&Cs and control your eligibility for, and obligations arising from, any Loan.
- By accessing or using the Tendo Platform, you represent and warrant that:
- ACCOUNT ACCESS, LOAN APPLICATION, AND LOAN APPROVAL
- Only approved Applicants will be able to use the Tendo Platform and any of its products and Services.
- Tendo reserves the right to request additional information or documents to verify your identity or eligibility, and suspend, limit, or close your account, or access to the Tendo Platform if any information provided is incomplete, inaccurate, false, or unverifiable. These actions may be taken in accordance with BSP and AMLC regulations to ensure proper customer due diligence and prevent fraud.
- Tonik’s decision on your Loan application will be displayed on the Tendo Platform. Tonik reserves its absolute right, at its sole reasonable discretion and without prior notice or obligation to provide reasons, to approve or decline your Loan application, or to revoke an approval prior to Loan disbursement. Tonik may also amend or vary the proposed Loan terms before disbursement based on your credit profile, verification results, or compliance review. Any such changes will be communicated to you and shall take effect only upon your acceptance of the revised terms. All Loan assessments and decisions are made in accordance with Tonik’s internal credit evaluation policies, applicable BSP consumer protection standards, and other Applicable Laws and regulations.
- To confirm your submitted information, a Tonik Loan officer may conduct verification through direct communication. As part of this process, we may contact you or, where appropriate, Related Persons to verify relevant information. All verification activities will be performed in accordance with the Data Privacy Laws, ensuring that your Personal Information and that of Related Persons are used solely for legitimate verification purposes.
- Tonik reserves the right, at its sole discretion, to decline any Loan application, revoke any prior approval, or refuse to issue a Loan at any stage of the application process, without the obligation to provide a reason. Tonik likewise reserves the right to assess your credit profile from time to time, and prior to Loan consummation or disbursement, to adjust or vary the proposed Loan amount, pricing, tenor, or other terms. Any such changes shall be communicated to you, and shall only take effect upon your acceptance of the revised terms. The final Loan terms will appear on the Platform, as well as in your Loan Agreement, and related disclosure documents.
- Once your Application is approved, you effectively become a User. As a User, you may purchase from our Partner Merchants’ online stores, subject to your approved Credit Limits and Loan conditions.
- If you remain continuously inactive (no purchases via Tendo) for twenty (21) days, Tendo reserves its right to change your status as User back to Applicant, which disables your account.
- Tonik may review your Credit Limit from time to time based on your payment history, account activity, and other credit assessments. Depending on this review, Tonik may increase or reduce your Credit Limit to help ensure responsible lending and protect you from over-borrowing. You will be notified through the Tendo Platform if your Credit Limit changes.
- Tendo reserves the right to disable your account at any time, particularly if you fail to comply with these T&Cs, our data privacy policies, or any guidelines Tendo may issue from time to time. Tendo may also disable your account if we reasonably believe that your account or access to the Tendo Platform is being used in a manner that may cause harm or damage to us, infringe the rights of others, or violate any Applicable Law or regulation.
- Tendo and Tonik reserve the right, in their reasonable discretion, to suspend your Loan account and adjust your Credit Limit, with or without prior notice, if valid grounds arise relating to your employer's failure to remit Repayments. This includes circumstances that may reasonably raise concerns or questions about your employer's financial condition, operational violability, or capacity to comply with payroll remittance arrangements. Any such action may be taken to manage risk and protect the integrity of the lending and Repayment process.
- Any Loan application submitted through the Tendo Platform, including its assessment, verification, approval, or rejection, shall be governed exclusively by the Loan Agreement and the applicable Loans Terms and Conditions issued by Tonik. You acknowledge that such terms and conditions apply independently of these T&Cs and shall control all matters relating to the Loan application and approval process.
- LOAN AGREEMENT
- Effective 1 June 2025, all Loans applied for through the Tendo Platform are granted and funded by Tonik. Accordingly, your Loan Agreement is entered into directly between you and Tonik, and is governed by Tonik’s Loans Terms and Conditions and related Loan documents, as well as Tonik’s Data Privacy Statement and Notice. Your relationship with Tendo is separate and distinct from your Loan relationship with Tonik and applies solely to your access to and use of the Tendo Platform and related Services, which remain governed by these T&Cs.
- You agree that Tendo provides only the Platform, technology, and customer servicing support that enable you to apply for, view, and manage your Loan, while Tonik remains solely responsible for the credit decision, loan funding, and Repayment collection.
- By continuing to use the Tendo Platform, you agree to comply with these T&Cs and Tonik’s Loan documentation, and you acknowledge that both agreements remain valid and binding during your use of the Tendo Platform and throughout the duration of your Loan.
- You further acknowledge and confirm that you have executed an authority to deduct in favor of your employer, as expressly provided in the Loan Agreement, for the purpose of facilitating payroll-based Repayments.
- In the event of your resignation, termination, separation, or cessation of employment for any cause or reason whatsoever, whether voluntary or involuntary, you hereby expressly, knowingly, and irrevocably authorize, consent to, and approve your employer’s deduction from your Final Pay of any and all outstanding obligations under this Loan. Such deductions shall include, without limitation, the unpaid principal, accrued interest, penalties, fees, charges, and any other amounts due, whether already due or accelerated pursuant to the Loan Documents.
- You further authorize your employer to withhold and remit from your Final Pay all amounts necessary to satisfy such accelerated obligations, subject to Applicable Laws on salary deductions and preference of credits.
- You expressly acknowledge that your employer acts solely as a conduit for your payroll withholding and remittance, and shall not be deemed your lender, guarantor, or obligor under the Loan. Under no circumstances shall your employer be held liable for your Loan obligations beyond the lawful deduction and remittance of amounts from the Final Pay as authorized.
- The Loan granted to you is a financial obligation that must be repaid strictly in accordance with these T&Cs. You acknowledge and agree that the Loan is not an employment benefit, compensation, gift or gratuity. By accepting the Loan, you assume full and personal responsibility for the Repayment of the principal amount, together with any accrued interest, applicable fees, charges, and all other amounts due under the Loan Agreement.
- You may only use the Loan proceeds for personal, family, or household purposes. The use of funds for business, investment, or any unlawful activity is not allowed. Any misuse of the Loan may result in legal action, restrictions on your Loan, future borrowings, or other remedies available under Applicable Law.
- The interest rate, Service Fee, and any other applicable charges will be clearly stated in the Disclosure Statement provided upon approval of your Loan. These rates and fees comply with BSP regulations and consumer protection standards.
- An installment sale constitutes a Loan Agreement between you and Tonik, as offered through Tendo. This applies whether you: (a) make a purchase using the Tendo Checkout Option on a Partner Merchant’s online store; or, (b) buy a Voucher from a Partner Merchant through www.tendo.ph. Upon completing a purchase under either option, you become an Active User, and the corresponding Loan Agreement takes effect.
- You will select your preferred Loan term and/or Repayment plan at the time of purchase.
- The Repayment schedules, Due Dates, and acceptable payment methods are detailed in your Loan Agreement and visible on your Dashboard. Payments must be made on or before each Due Date using the approved payment channels. Failure to pay any amount due on or before its Due Date may result in the imposition of Late Payment Fees and other applicable charges, as described in the Disclosure Statement and the Loan Agreement.
- If such failure constitutes an Event of Default, as defined in the succeeding section, Tonik may exercise its rights and remedies under the Loan Agreement and Applicable Law, which may include the initiation of collection activities, restriction or suspension of account access, acceleration of outstanding obligations, and the exercise of such other rights and remedies as may be available to it. Continued non-payment or the occurrence of an Event of Default may also result in the reporting of your account status to credit bureaus or regulatory-accredited credit information systems, in accordance with Republic Act (RA) No. 9510, or the Credit Information System Act, BSP rules, and other applicable regulations.
- You may prepay your Loan early, in full or in part, at any time, without paying any penalties, unless your Loan documents specifically state otherwise.
- When you make an early or partial payment, the amount will be applied in this order: (a) applicable taxes (if any); (b) any interest that has already accrued; (c) Service Fees; (d) the principal balance; (e) any penalty fees; and, (f) other remaining charges, if applicable.
- To complete an installment purchase and receive your Loan, you must pay a First Payment at the time of purchase. The First Payment is a percentage of the total price of the purchased product and depends on your credit profile. You may pay this amount using the available payment methods shown at check out. The First Payment applies both to purchases made through the Tendo checkout option and to Voucher purchases.
- Once you successfully pay the First Payment, you are deemed to have accepted the terms of your Loan Agreement.
- If you buy a Voucher, your Loan Agreement takes effect immediately upon the Voucher purchase, and not when you later use the Voucher on a Partner Merchant's website.
- Your initial outstanding balance includes: (a) the total price of the purchased product minus your First Payment; (b) any fees charged by the Partner Merchant (such as delivery fees); (c) the interest; and, (d) the Service Fee charged by Tendo for processing your purchase. All these amounts will be disclosed to you at the moment of purchase.
- After you complete a purchase, you will be provided with a summary of the total amount due, Repayment schedule, and Due Dates in the Loan Agreement. You can also view this information anytime on your Dashboard.
- You must pay each installment on or before the applicable Due Date shown on your Dashboard and in our communications with you. Any failure to make payment when due may constitute an Event of Default, in which case additional consequences may apply in accordance with the Loan Agreement and Tonik’s Loans Terms and Conditions as well as the Applicable Law.
- If you do not pay on or before your Due Date, a Late Payment Fee will apply. The amount and the method of calculating these fees will be stated in your Disclosure Statement and Loan Agreement.
- DEFAULT AND REMEDIES
- Any Default, Event of Default, acceleration of obligations, remedies, Enforcement actions, assignment of rights, and collection activities relating to the Loan shall be governed exclusively by the Loan Agreement, including Tonik’s Loans Terms and Conditions, which you acknowledge form part of your Loan documents.
- You further acknowledge that Tonik is the lender and the party entitled to determine the occurrence of a Default and to exercise all related rights and remedies under the Loan Agreement and Applicable Law. Tendo acts solely as a platform provider and authorized agent for limited purposes, and does not independently determine Defaults or exercise lender remedies.
- Any obligation to pay legal, collection, or Enforcement costs shall arise only as provided in the Loan Agreement and applicable Tonik Loans Terms and Conditions.
- ADDITIONAL CHARGES AND FEES
- If you fail to make a payment on or before the Due Date, a Late Payment Fee may apply in accordance with the Loan Agreement and Tonik’s Loans Terms and Conditions. The Late Payment Fee shall continue to apply to each succeeding overdue Repayment until all outstanding amounts are fully settled. Any Late Payment Fee, including the amount and manner of computation, shall be as disclosed in the Loan Agreement. Continued failure to settle outstanding amounts may result in your account being endorsed or transferred, by or on behalf of Tonik, to accredited third-party debt collection agents, as permitted under Applicable Law. Any future imposition of Late Payment Fees by Tendo shall be disclosed to you in accordance with applicable notice requirements.
- Any fees, charges, penalties, or costs applicable to your Loan, including Late Payment Fees and the manner of computing such fees, shall be governed by and disclosed in the Loan Agreement and the applicable Loans Terms and Conditions issued by Tonik. If any charge, fee, or cost relating to your Loan is not expressly addressed in these T&Cs, the provisions of the Loan Agreement and Tonik’s Loans Terms and Conditions shall apply and prevail. Any Late Payment Fees that Tendo may impose in the future shall be properly disclosed to you within a reasonable period.
- REPAYMENT
- While you remain employed by a participating employer, Repayments may be made through either of the following methods, in accordance with the Loan Agreement:
- automatic salary deduction during the applicable payroll cut-off period, where payroll deduction arrangements are in place with your employer. Salary deduction is subject to successful inclusion in your employer’s payroll files and the employer’s applicable payroll processing timelines. You acknowledge that any failure or delay in salary deduction by the employer does not relieve you of your obligation to make Repayments in full and on time; and,
- advance or supplemental Repayments made prior to the payroll cut-off date through third-party payment channels designated by Tendo. The list of available Repayment channels is published on the Tendo website.
- Upon your resignation, termination, separation, or cessation of employment for any cause or reason whatsoever, whether voluntary or involuntary, your outstanding Loan balance shall become immediately due and demandable, unless otherwise provided in the Loan Agreement. In such cases:
- all salary deduction arrangements shall automatically cease; and,
- all outstanding amounts shall be settled through the third-party Repayment channels designated by Tendo, as listed on the Tendo website.
- All Repayments must be made strictly in accordance with the Loan Agreement and through third-party payment channels designated by Tendo.
- Tendo shall not be held liable for, and you bear the risk of, any delay, failure, or non-crediting of payments arising from events or circumstances beyond Tendo’s control, including but not limited to the closure, non-functioning, or malfunction of any payment channel, or the failure or delay of your employer to remit salary amounts deducted from your payroll in connection with the Loan.
- In case of Default or non-payment, Tonik, or its authorized third-party collection agents, may undertake lawful collection and recovery activities against you, in accordance with the Loan Agreement, its Loans Terms and Conditions, and Applicable Laws and regulations.
- If you fail to settle any outstanding balance in accordance with the Loan Agreement, you may be subject to such consequences, actions, or remedies as may be permitted under the Loan Agreement, Tonik’s Loans Terms and Conditions, and Applicable Law, including reporting to credit bureaus or credit reporting agencies and the institution of legal proceedings by or on behalf of Tonik.
- While you remain employed by a participating employer, Repayments may be made through either of the following methods, in accordance with the Loan Agreement:
- DATA PRIVACY, PROCESSING, AND USE OF INFORMATION
- Tendo shall keep all your information confidential and shall not disclose your Personal Data except as required by law, with your express consent, or as otherwise authorized under the lawful basis for processing Personal and Sensitive Personal Information as outlined under the Data Privacy Laws.
- By using the Tendo Platform and availing of any of Tendo’s products and Services, you agree and consent to the collection, use, processing, retention, sharing, transfer (whether within or outside the Philippines), and disposal of your Personal and Sensitive Personal Information, such as your name, age, photos, fingerprints and other biometric data, mobile numbers, device and usage data, employment and income details, financial information, credit standing, Loan history, and any information you provide in connection with your application for, access to, or use of the Tendo Platform, and/or in connection with any Loan application submitted through the Tendo Platform,
- In addition to the consents, authorizations, and agreements stated in Tendo’s Privacy Notice, you further agree that your Personal Information and transactional details may be collected, used, and processed for the following legitimate purposes:
- sending updates and notifications related to the Tendo Platform, related products, and Services;
- conducting market research, surveys, or studies to improve the Tendo Platform, products, services, and User experience;
- marketing and promoting the products and Services of Tendo, its Affiliates, and Partner Merchants, other accredited third-partner partners, and/or service providers, including contests, raffles, discounts, rewards programs, special offers or promotional activities, through e-mail, SMS, phone calls, in-app notifications, messages, or other communication channels or platforms such as Viber, WhatsApp, Telegram, social media, e-commerce platforms, or similar means;
- enhancing and developing products and Services through analytics, benchmarking, profiling, statistical analysis, planning, and research; and,
- curating, recommending, or offering other products or Services that may be relevant to your preferences, profile, or use of the Tendo Platform.
- You expressly acknowledge and agree that Tendo may engage its own personnel, Affiliates, or duly authorized telesales agents, service providers, or representatives to contact you, whether by phone call, SMS, e-mail, in-app messaging, or any other means of communication for the above-mentioned purposes, subject at all times to Applicable Law, BSP regulations, and Data Privacy Laws. Any such communications shall be conducted only in accordance with your consents, stated communication preferences, and applicable consumer protection and data privacy requirements.
- You acknowledge that, where you provide Personal Information relating to third parties (including, but not limited to, your relatives, friends, payees, beneficiaries, attorneys, guarantors, employers, and employees or officers of your employer, collectively referred to as "Related Persons") in support of your application for, access to, and use of the Tendo Platform, and/or in connection with any Loan application submitted through the Tendo Platform, Tendo may collect, process, store, share, and dispose of such information strictly for legitimate and necessary purposes. These include, but are not limited to, verification, legal and regulatory compliance, customer support, fraud prevention, dispute resolution, and other purposes related to the operation of the Tendo Platform, all in accordance with applicable data privacy laws and Tendo’s Privacy Notice. You further represent and warrant that: (a) the information you provide is accurate and up to date, and (b) you have obtained the prior consent of the Related Persons to collect, share, and process their Personal Data.
- Tendo reserves the right to request additional information or documents from you in connection with your use of the Tendo Platform and the submission of your Loan application at any time. Failure to provide the requested information within the period required by Tendo may result in the application not being processed or the non-activation of your access to, or use of, the Tendo Platform. Failure to provide satisfactory proof of identity may also be treated by Tendo as a potential attempt to misuse or fraudulently access the Tendo Platform and/or the Services.
- For the avoidance of doubt, your Loan application and any related verification, assessment, or processing shall remain subject to the requirements set out in the Loan Agreement, as well as Tonik’s applicable Data Privacy Statement and Notice. These shall apply independently of and in addition to Tendo’s Privacy Notice, and all Personal Information shall be processed in accordance with the Data Privacy Laws.
- REGULATORY COMPLIANCE
- Tendo is subject to regulation and oversight by the BSP, and the SEC, and complies with all Applicable Laws and regulations, including the Anti-Money Laundering Act (AMLA).
- Tendo conducts KYC procedures and, when required by Applicable Laws, reports covered and suspicious transactions to the Anti-Money Laundering Council (AMLC).
- SHIPPING AND DELIVERY OF THE PURCHASED PRODUCT
- The shipping and delivery of any product you purchase through the Tendo Platform are the sole responsibility of the Partner Merchant.
- Tendo acts solely as a payment processing and Platform provider. Tendo is not responsible for the shipping, delivery, quality, warranty, customer satisfaction, or any other characteristics of the product purchased from the Partner Merchant.
- PLATFORM AVAILABILITY AND DISCLAIMER
- The Tendo Platform is provided on an “as is” basis. While Tendo takes reasonable measures to maintain and operate the Platform, Tendo does not warrant or guarantee that the Platform or any of its Service will be uninterrupted, timely, secure, or error-free. To the extent permitted by Applicable Law, Tendo disclaims all representations and warranties relating to the operation of the Tendo Platform itself. You understand and agree that your use of the Tendo Platform, any information available and/or accessed through it, and any security features provided are at your own risk.
- REFUND AND REPLACEMENT
- Any refund, return, or replacement of a product purchased through the Tendo Platform shall be governed exclusively by the refund and replacement policy of the Partner Merchant from whom the product was purchased. You acknowledge that you are required to comply with the applicable refund and replacement policy as stated on the Partner Merchant’s website or other official sales channel where the purchase was made.
- Once the Partner Merchant has confirmed that the purchased product has been validly returned and the corresponding refund has been approved in accordance with the Partner Merchant’s refund policy, Tendo shall, as applicable, cancel any remaining settlements relating to the purchase.
- Where an initial or advance payment was made by you in connection with the purchase, and the Partner Merchant has confirmed that the product has been returned and refunded, Tendo shall facilitate the return of such payment, if any. The refunded amount shall be credited to your designated bank account or e-wallet account acceptable to Tonik, such as, but not limited to, GCash, subject to applicable processing timelines and the confirmation received from the Partner Merchant.
- POSSESSION
- Any loss of, damage to, or defect in a product you purchased through the Tendo Platform shall not release you from, or affect, your obligations under these T&Cs or the Loan Agreement, including your obligation to make Repayments in accordance with the Loan Agreement and Tonik’s Loans Terms and Conditions.
- In the Event of Default, and subject to Applicable Laws and regulations, the product purchased may be subject to repossession or other recovery actions by or on behalf of Tonik, in accordance with the Loan Agreement and its Loans Terms and Conditions.
- COMMUNICATIONS
- All official notices and communications sent by Tendo to the contact details you have registered with Tendo, including through e-mail, SMS, Viber, WhatsApp, in-app notifications or calls, or other electronic means, shall be considered received by you once sent. You are responsible for ensuring that your registered contact details are accurate, complete, and kept up to date. Failure to receive any notice due to outdated, incorrect, or inaccessible contact information shall not relieve you of your obligations under these T&Cs or the Loan Agreement.
- Once a notice message is sent to your registered e-mail address or phone number, Tendo shall no longer be responsible for its security or confidentiality, or for any acts or omissions of any third-party service providers (including, but not limited to, e-mail service providers or mobile network operators), or for any unauthorized access, interception, or use of your registered contact details beyond Tendo’s reasonable control.
- You are solely responsible for safeguarding your username, password, electronic signature (if applicable), and any other security or identification credentials issued or used in connection with your Tendo account. You must not disclose or allow the use of such credentials by any unauthorized person. Tendo shall not be liable for any loss, damage, or unauthorized transaction arising from the disclosure or misuse of your credentials, except to the extent caused by Tendo’s gross negligence or willful misconduct. If you know or reasonably suspect that your credentials have been compromised or that your Tendo account has been accessed without authorization, you must immediately notify Tendo through its designated support channels, including [email protected].
- At your own cost, you are responsible for providing, maintaining, and updating the devices, internet connection, system software, and application software necessary to safely access and use Tendo’ online Services.
- To ensure efficient and accurate service, you authorize Tendo to record any and all telephone conversations between you and Tendo, whether initiated by you or by Tendo. However, Tendo is not obligated to make such recordings. This authorization includes, but is not limited to, the recording of instructions, statements, complaints, inquiries, and other communications relating to your account or Tendo’s Services.
- Tendo may rely on recorded communications, where permitted by Applicable Law, as evidence of your instructions, acknowledgments, or acceptance of offers or confirmations communicated through such calls. However, any additional, amended, or revised terms affecting your rights or obligations shall only be binding if separately provided to you in writing, in accordance with applicable financial consumer protection laws and regulations.
- Tendo may retain and use such recordings for lawful purposes, including internal review, dispute resolution, fraud prevention, or as evidence in judicial, administrative, or regulatory proceedings, in accordance with applicable Data Privacy Laws and regulations.
- TERMS AND CONDITIONS SPECIFIC TO THE TENDO REFERRAL PROGRAM
- These Terms and Conditions (the “Referral Program Terms”) are between you and Tendo and govern solely and exclusively your participation in the Tendo Referral Program offered through the Tendo Platform. These Referral Program Terms apply only to referral-related activities and rewards and shall not apply to any loan, purchase, payment, or other Service accessed through the Tendo Platform, which shall continue to be governed by the T&Cs, Tonik’s Loans Terms and Conditions, Loan Agreement, and the relevant Privacy Statements and Notices.
- PLEASE READ THESE REFERRAL PROGRAM TERMS CAREFULLY BEFORE PARTICIPATING IN THE REFERRAL PROGRAM. IF YOU DO NOT AGREE TO THESE REFERRAL PROGRAM TERMS, YOU MUST NOT PARTICIPATE IN THE REFERRAL PROGRAM.
- By participating in the Referral Program, you confirm that you agree to and are bound by these Referral Program Terms. You represent and warrant that you are at least eighteen (18) years old, have no legal impediment to entering this Agreement, and have the legal capacity and authority to do so, whether on your own behalf or on behalf of a legal entity that you represent, and to bind such entity to this Agreement.
- You agree to perform your obligations under these Referral Program Terms in good faith, including the following duties and responsibilities:
- The Program. The Referral Program allows you to earn credits that may be redeemed for rewards by referring friends to sign up as new users on the Tendo Platform. Participation in the Referral Program is free of charge. However, you must have an active Tendo account to participate. To qualify for referral credits, you must comply with these Referral Program Terms, and the person you refer must register a new account on the Tendo Platform using your assigned referral code (“Referral Code”) during the applicable promotional period in order for the Referral, as defined below, to be properly tracked under the Referral Program. The Referral Period, including the eligibility of Users and Referrals, shall be determined by Tendo and may be modified at its sole discretion. Tendo will provide you with a unique Referral Code for your use in the Referral Program.
- Eligible Referral. An Eligible Referral (“Referral”) is a referred person who meets all the following conditions:
- the Referral is not an existing user of the Tendo Platform;
- the Referral creates a new account on the Tendo Platform using your Referral Code;
- the Referral is a citizen of the Philippines;
- the Referral creates a new account using the Referral Code during the applicable promotion period;
- the Referral completes his or her first successful purchase at the time the new account is created (including purchases made by you, where applicable); and,
- you and the Referral are employees of partner companies selected by Tendo.
- Rewards. For each Referral, Tendo will award you with credits, as described on the applicable Referral Program page on the Tendo Platform. These credits may be redeemed for available rewards (each, a “Reward”). Details of the Rewards, including eligibility and redemption mechanics, are available on the relevant program page on the Tendo Platform. After each Referral is completed, Tendo will review the Referral’s account activity to confirm compliance with these Referral Program Terms and to check for fraudulent or abusive activity. Delivery of the Reward may be delayed during this review process, but in any case, the Reward will be delivered no later than thirty (30) days after redemption, unless otherwise stated.
- Sharing Referral Codes. Referral Codes must not be posted, published, or distributed on commercial websites (such as coupon, deal, or discount websites or forums) or on blogs. Referral Codes may not be sold and should only be shared free of charge for legitimate promotional purposes. You must not spam or send unsolicited referral invitations, including through mass e-mails, text messages, or automated systems or bots, or message individuals you do not personally know. You are also prohibited from paying to advertise your Referral Code or from misleading or attempting to mislead anyone in connection with the Referral Program. Each Referral may use only one (1) Referral Code. If a Referral receives multiple Referral Codes, only the last Referral Code will be considered valid for purposes of the Referral Program.
- Tendo reserves the right to take any appropriate action, including suspending or canceling your account or a Referral’s account, if fraud, abuse, tampering, technical errors, or violations of these Referral Program Terms or the T&Cs are suspected.
- Tendo may suspend, terminate, or modify the Referral Program, or your or a Referral’s participation in the Referral Program, at any time and in its sole discretion. Participation in the Referral Program is completely voluntary. Tendo may also amend, modify, or update the Referral Program, the Rewards, or this Referral Program Terms at any time in its sole discretion. Any changes will take effective upon posting on the Tendo Platform, or as otherwise indicated.
- Your participation in the Referral Program does not create any agency, partnership, representation, sponsorship, or endorsement relationship between you and Tendo.
- By participating in the Referral Program, you agree that Tendo may display information relating to your activity or participation in the Referral Program. You further consent to Tendo’s use, display, publication, or broadcast of your name and other relevant details on the Tendo Platform, or through other promotional, or marketing channels, for promotional, marketing, or related purposes, without additional compensation.
- Any non-public information relating to Tendo, its products, the Platform, its Services, or this Referral Program Terms that is made available to you in connection with the Referral Program constitutes Tendo's confidential information (“Confidential Information”). You agree not to disclose such Confidential Information to any third party under any circumstance without Tendo’s prior written approval.
- EXCEPT AS EXPRESSLY STATED IN THESE REFERRAL PROGRAM TERMS, TENDO MAKES NO REPRESENTATIONS, WARRANTIES, PROMISES, OR COMMITMENTS REGARDING THE REFERRAL PROGRAM, INCLUDING ITS FEATURES, OPERATION, AVAILABILITY, FUNCTIONALITY, OR SUITABILITY FOR YOUR EXPECTATIONS. THE REFERRAL PROGRAM IS PROVIDED ON AN “AS IS” BASIS, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
- These Terms and Conditions (the “Referral Program Terms”) are between you and Tendo and govern solely and exclusively your participation in the Tendo Referral Program offered through the Tendo Platform. These Referral Program Terms apply only to referral-related activities and rewards and shall not apply to any loan, purchase, payment, or other Service accessed through the Tendo Platform, which shall continue to be governed by the T&Cs, Tonik’s Loans Terms and Conditions, Loan Agreement, and the relevant Privacy Statements and Notices.
- GENERAL PROVISIONS
- Any failure, omission, or delay by Tendo in exercising any right or power under this Agreement shall not be considered a waiver of such right or power. The partial or single exercise of any right or power shall not prevent Tendo from exercising the same or any other right in the future. Acceptance by Tendo of any payment after its Due Date, after an Event of Default, or after legal proceedings have begun shall not constitute an extension of time for payment, a modification or novation of this Agreement, a waiver of any of Tendo’s rights, or in any way prejudice Tendo.
- Tendo shall be entitled to sell, transfer, or assign any of its rights and obligations under this Agreement to any person, company, or entity without your consent. Any such sale, transfer, or assignment shall be binding on you. You agree to fulfill and perform all your obligations, including payment obligations, in favor of the transferee or assignee, who shall have the authority to collect the amounts due under this Agreement. For this purpose, you expressly waive any rights you may have under Article 1634 of the New Civil Code of the Philippines (RA No. 386) on debtor’s right of redemption for assigned credits in litigation.
- You shall not assign or transfer any of your rights or obligations under this Agreement without Tendo’s prior written consent.
- In the event of any dispute arising out of or in connection with this Agreement, the entries in Tendo’s books of accounts and its official records shall constitute prima facie evidence of the matters stated therein, in the absence of any manifest error.
- In case of any dispute arising out of or in connection with this Agreement, you and Tendo both agree to first attempt to resolve the dispute through mediation before resorting to legal action.
- If mediation is unsuccessful, disputes shall be resolved through arbitration or litigation, as applicable, before the courts of Pasig City to the exclusion of all other venues.
- If any provision of this Agreement is declared invalid, illegal, or unenforceable under Applicable Law, such provision shall be deemed severed and shall not affect the validity or enforceability of the remaining provisions of this Agreement. This Agreement shall continue in full force and effect to the fullest extent permitted by Applicable Law.
- Tendo reserves the right to amend or update these T&Cs at any time. Material changes that substantially affect your rights or obligations will be communicated through e-mail, the Tendo Platform, or Tendo’s official website before they take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised T&Cs.
- All notices, demands, or other communications given or made by Tendo to you may be in writing and delivered either personally, by registered post, by text message or by e-mail using the contact details you provided upon registration on the Tendo Platform. You are responsible for keeping your contact information updated. Tendo may also provide notices through general announcements on the Tendo Platform, its official website at www.tendo.ph, social media pages, and/or other official communication channels.
- For inquiries, complaints, or assistance, all communications or notices to be given or made by you shall be in writing and shall be delivered either personally, or by registered post to Tendo’s principal office at Unit 602, 6/F, West Wing, The Offices at Estancia, Meralco Avenue, Pasig City, Philippines 1605, or by e-mail to [email protected].
- This Agreement shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
- These T&Cs, together with the Loan Agreement, Tonik’s General Terms and Conditions and Loans Terms and Conditions, the relevant Data Privacy Statements and Notices, and any other documents related to your Loan, the Tendo Platform, and your use of the Services, constitute the entire agreement between you and Tendo. They supersede all prior or contemporaneous agreements, discussions, or understandings relating to the same subject matter.
- No verbal or written statements outside of this Agreement shall amend, modify, or supplement these T&Cs unless explicitly agreed to in writing by both you and Tendo.
